Terms of Service

These Terms of Service ("Terms") govern your access to and use of EcoService OS (formerly EcoService Pro), provided by EcoPowerHub AI LLC ("EcoPowerHub", "we", "us"), located in Columbia, Maryland, USA.

1. Acceptance of Terms

By accessing or using EcoService OS you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the service.

2. Accounts, Workspaces & Roles

You must provide accurate information, keep credentials confidential, and are responsible for activity under your account. Workspaces assign roles such as Owner, Technician, Customer, and Accountant. The Owner is responsible for the conduct of users they invite to their workspace and for any API keys they create.

3. What the Service Is

EcoService OS is multi-tenant field service software: jobs, dispatch and scheduling, CRM, quotes, invoices, inventory and parts, equipment records, a customer portal, PWA/mobile field use, reporting, and optional Feature Marketplace add-ons.

Depending on your plan and settings, the platform may include:

• AI scheduling and dispatch assistance and the Maya assistant (chat and photo diagnostics) — advisory only;
• voice-to-work-order and photo intake where enabled;
• Stripe invoicing, Checkout, Customer Portal, and Apple Pay / Google Pay where Stripe supports them;
• inventory, barcode/QR scanning where enabled, and job costing;
• an equipment library with common-issue context — this is reference information, not a certified repair procedure;
• a public Booking API (/api/public/v1) with company-scoped API keys, rate limits, and webhooks — keys are secrets, and abuse or key leakage is your responsibility;
• QuickBooks Online integration: when your company connects QuickBooks Online and maps an income account, EcoService OS pushes customers, invoices, and payments to QuickBooks Online in one direction. Your customers still pay through Stripe. This is not a two-way sync, and it is not an integration with Xero, Sage, SAP, or QuickBooks Desktop (CSV export may be available separately);
• EcoPowerHub Academy: lab-based training and exam preparation. Completing an Academy program is not a licence, certification card, or accreditation. Exam fees are paid to the examining body (for example EPRA, NABCEP, EPA, or NATE). Tracks marked as coming soon are not sold until they open;
• AffiliateGrid / Partner program: partners refer customers; they must not collect customer payments or impersonate EcoPowerHub. Commission rules are set out in the Partner Agreement. The company remains the merchant of record for its own sales;
• email and SMS notifications that your company enables; you are responsible for obtaining any consent required in your jurisdiction.

Some modules — including ERP Sync, GPS tracking, marine/aviation modules, and on-chain or certificate experiments — are optional add-ons or experiments and are not guaranteed to be available in every region or plan.

4. Subscription & Billing

Paid plans are billed in advance on a monthly or annual basis through Stripe. Fees are non-refundable except as set out in our Refund Policy. We may change pricing with at least 30 days notice for the next renewal period. Taxes are your responsibility unless we are required by law to collect them.

5. Payments, Stripe Connect & Merchant of Record

EcoService OS is a software platform only. We do not hold, transmit, or take custody of customer funds. We are not a bank, money transmitter, money services business, or payment processor.

When you accept payments through invoices or the Customer Portal, payments are processed by Stripe, Inc. and its affiliates ("Stripe"). Funds are settled directly to the bank account you connect through Stripe Connect Express and at no point pass through EcoPowerHub AI LLC.

By connecting a Stripe account through EcoService OS, you:

• agree to Stripe's Connected Account Agreement, Services Agreement, and applicable Privacy Policy;
• confirm you are authorized to connect the bank account on behalf of your business and to accept payments under it;
• are the merchant of record for every transaction — solely responsible for the goods and services rendered, sales/VAT/use tax collection and remittance, refunds, disputes, chargebacks, fraud, and any reserves or holds Stripe may apply;
• authorize EcoService OS to read account status, balances, payouts, and payment metadata from Stripe on your behalf for the purpose of providing the platform, displaying status, generating receipts, and reconciling payments;
• acknowledge that identity verification (KYC), two-factor authentication, account access controls, and tax reporting (e.g. 1099-K where applicable) are performed by Stripe under its own policies, not by EcoPowerHub.

You agree that EcoPowerHub is not responsible for: (a) Stripe's actions, fees, holds, freezes, account terminations, or payout timelines; (b) loss or delay of funds caused by incorrect bank details you provide; (c) chargebacks, refunds, or disputes initiated by your customers; (d) tax assessments resulting from your sales activity. Your sole remedy for any payment-processing issue is with Stripe and your customer, not with EcoPowerHub.

You are responsible for displaying truthful invoice content, honoring posted refund and cancellation policies, complying with consumer-protection laws applicable in your jurisdiction, and maintaining licensing required to perform the services you bill for. You may not use the platform to facilitate payments for prohibited or restricted activities under Stripe's Restricted Businesses policy.

EcoService OS maintains an audit log of invoice and payment actions performed in the platform (creation, sending, status changes, payments recorded) to support reconciliation, security review, and dispute defense. You consent to this logging.

6. EcoPowerHub Academy

• Academy programs are training and exam preparation only.
• We do not guarantee that you will pass any external exam or obtain employment.
• Labs, scores, and completion certificates are issued by the application after grading; you may not self-issue or alter them.
• Regional pages describing where you can train are context and scheduling information, not a separately accredited school.

7. Partners & Affiliates

Partners and affiliates must not receive personal data of referred customers at signup beyond what the Partner Agreement allows. We may terminate a partner for collecting customer payments, impersonating EcoPowerHub, or failing to make required disclosures.

8. APIs & Integrations

• You must keep API keys secret, rotate them immediately if leaked, and honor published rate limits.
• Webhooks and OAuth tokens — including QuickBooks Online tokens — are confidential and must be stored securely.
• Outages or changes at third parties (Stripe, Intuit, email/SMS providers, Zoom, and similar) are not EcoPowerHub downtime and do not earn service credits unless an order form says otherwise.

9. Acceptable Use

• No illegal, infringing, or harmful activity.
• No reverse engineering, scraping, or attempting to bypass security.
• No interference with other tenants or our infrastructure.
• No use to build a competing product or to train competing AI models.
• No using the Booking API or webhooks to send spam.
• No scraping equipment-library or Academy content into a competing dataset.

10. Intellectual Property, AI, Warranties, Liability & Indemnity

You retain ownership of all data you submit ("Customer Data"). You grant us a limited license to host, process, and display Customer Data solely to provide the service. Outputs generated by AI features in response to your inputs are owned by you, subject to applicable third-party model terms. EcoPowerHub retains all rights in the platform, software, branding, and aggregated, de-identified data.

AI features — including the Maya assistant, photo diagnostics, and dispatch and scheduling suggestions — are provided as-is and may be inaccurate or incomplete. You are responsible for reviewing outputs before acting on them. EcoService OS is not a substitute for licensed professional judgment, safety procedures, or regulatory compliance.

We warrant we will provide the service with reasonable care and skill. EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ECOPOWERHUB'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OR LOST PROFITS.

You agree to indemnify and hold EcoPowerHub harmless against claims arising from your Customer Data, your use of the service in violation of these Terms, or your violation of applicable law.

11. Termination & Data Deletion

You may cancel anytime in your billing settings. We may suspend or terminate accounts for material breach, non-payment, or risk to the platform. Upon termination, your access ends and your data is deleted per our Privacy Policy.

12. Governing Law & Disputes

These Terms are governed by the laws of the State of Maryland, USA, without regard to conflict of laws. Disputes shall be resolved by binding arbitration in Maryland under the rules of the American Arbitration Association, except either party may seek injunctive relief in court. Class actions are waived to the extent permitted by law. EU/UK consumers retain mandatory local rights.

13. Changes

We may update these Terms; material changes are notified in the app or by email. Continued use after the effective date constitutes acceptance.
